Our employee benefits practice is a dynamic team of professionals whose experience and knowledge combine with practical solutions in order to provide clients with high quality, efficient results.  Our attorneys are regularly involved in the design, implementation and administration of employee benefit plans, including qualified retirement plans, trust agreements, health and other welfare plans, deferred compensation arrangements, stock option and other equity-based compensation arrangements.  Our client base is extremely diverse, ranging from small businesses to multi-national corporations, banks, trustees, insurers, multiemployer funds, and governmental and tax-exempt employers.

Areas in which they can assist include:

  • Federal and state tax treatment to employers and employees of employee benefits.
  • Comprehensive fiduciary responsibility advice under ERISA and state law, including for responsibility for plan decisions and investments.
  • Review of plan contractual arrangements and services to ensure compliance with ERISA and applicable law.
  • Treatment of employee benefit plans in corporate transactions.
  • Assistance with self-audits and error correction, including correction under the Internal Revenue Service’s Employee Plans Compliance Resolution Program, the Department of Labor’s Delinquent Filer Voluntary Correction Program and other such programs.
  • Proceedings involving the Department of Labor, Internal Revenue Service and Pension Benefit Guaranty Corporation.
  • Federal and state securities law implications of stock-based compensation, including the drafting of required disclosure documents and registration statements.
  • ERISA and employee benefit litigation.
  • Assistance with ESOP transactions, including advice on federal taxation, prohibited transactions and financing matters.
  • Compliance with privacy legislation, including HIPAA.
